Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of embroideryli.com (the "Site") and any custom embroidery, patch, digitizing, or related services ("Services") provided by EmbroideryLI ("EmbroideryLI," "we," "us"). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or place an order.

2. Orders and Payment

An order is placed when you submit a checkout through the Site or confirm a written quote by email. Acceptance of the order occurs when we send an order confirmation email. We reserve the right to refuse any order at our discretion (for example, if artwork raises IP concerns or the requested decoration is outside our capabilities).

All orders require payment in full before production begins unless you are an approved account on terms. Payments are processed through Square. Prices are in US dollars. You are responsible for any applicable sales tax. We reserve the right to correct pricing errors discovered after an order is placed and to cancel the order if you do not accept the corrected price.

3. Artwork and Intellectual Property

By submitting artwork to us, you represent and warrant that you own the artwork or have the legal right to reproduce it as custom embroidery. You agree to indemnify and hold EmbroideryLI harmless from any claim, cost, or damage (including reasonable attorney fees) arising from a third-party claim that your artwork infringes a copyright, trademark, or other right.

You grant EmbroideryLI a limited, non-exclusive license to reproduce your artwork solely to produce your order. We may also display photographs of finished work in our portfolio and marketing materials unless you instruct us in writing not to.

Stitch files (digitized files) we create from your artwork are owned by you upon full payment of the digitizing fee. We retain a copy for the purpose of producing future re-orders.

4. Production & Turnaround

Stated turnaround times are good-faith estimates based on current shop capacity and supplier lead times, not guarantees. Production begins after artwork approval and (where applicable) digitizing completion. Delays caused by approval cycles, garment supplier backorders, shipping carriers, or events beyond our reasonable control are not the responsibility of EmbroideryLI and do not entitle you to a refund. If a delay materially affects your order we will notify you promptly and work with you on a solution.

5. Cancellations

Orders may be cancelled at no cost before digitizing begins or before we order garments on your behalf, whichever happens first. After that point, cancellation is subject to a fee covering work already performed and non-returnable supplier costs. Once production begins, orders cannot be cancelled.

6. Returns

Custom-decorated goods are made to your specifications and are non-returnable except in the case of a manufacturing or production defect (covered in Section 7). Please review approved artwork, sizing, and quantities carefully before approving production - errors in your approval cannot be returned.

7. Defects & Remakes

If a piece is genuinely defective - misaligned stitching, wrong thread colors versus the approved proof, garment damage caused by our production process - notify us within seven (7) days of delivery with photos. We will remake or refund the affected pieces at our discretion. Variations within industry-standard tolerances (minor color shift on metallic threads, small placement variation within 1/4 inch, dye-lot differences on garments) are not defects.

8. Limitation of Liability

To the maximum extent permitted by law, EmbroideryLI's total liability for any claim arising out of an order is limited to the amount you paid for the affected order. EmbroideryLI is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, regardless of the legal theory.

We make no warranty of merchantability or fitness for a particular purpose beyond what is expressly stated in these Terms. The Site and Services are provided "as is" and "as available."

9. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or an order will be resolved exclusively in the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Site or placing a new order after a change constitutes acceptance of the updated Terms.
